1. Interpretation and Definitions
Interpretation
Words with initial capital letters have meanings defined under the following conditions. These definitions apply whether they appear in singular or plural form.
Definitions
For the purposes of these Terms and Conditions:
Application means the Dogs Out mobile application provided by the Company, available on iOS and Android devices.
Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store), through which the Application may be downloaded.
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of shares or voting securities entitled to elect directors.
Business Owner means a registered user who has claimed and been granted management access to a business listing on the Service.
Content means any text, photos, reviews, ratings, comments, dog profiles, or other material uploaded, submitted, or posted by You through the Service.
Country refers to: United Kingdom.
Company (referred to as either "the Company", "We", "Us", or "Our" in this Agreement) refers to PETNEXUS LTD, registered in England and Wales (Company No. 14759974), with its registered office at 85 Great Portland Street, First Floor, London, England, W1W 7LT.
Device means any device that can access the Service, such as a computer, mobile phone, or tablet.
Service refers to the Application.
Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
Third-party Social Media Service means any services or content (including data, information, products, or services) provided by a third party that may be displayed or made available through the Service.
You means the individual accessing or using the Service, or the company or other legal entity on whose behalf such individual is accessing or using the Service.
2. Acknowledgment
These Terms govern the use of this Service and constitute the binding agreement between You and the Company. They outline the rights and obligations of all users regarding the use of the Service.
By accessing or using the Service, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms, You may not access the Service.
You represent that You are at least 13 years of age. The Company does not permit individuals under 13 to use the Service. If We become aware that a user is under 13, We reserve the right to suspend or terminate that account without notice.
Your access to and use of the Service is also conditioned on Your acceptance of our Privacy Policy, which describes our policies on the collection, use, and disclosure of Your personal information and Your data protection rights under applicable law, including the UK GDPR.
3. Community Guidelines
Dogs Out may publish Community Guidelines from time to time. Users agree to comply with any Community Guidelines made available through the Service.
Community Guidelines supplement these Terms and may be updated independently. In the event of any conflict between Community Guidelines and these Terms, these Terms shall prevail.
4. Account Registration
You must create an account to access and use the Service.
You may register using:
- Email address and password;
- Google Sign-In; or
- Sign in with Apple.
When registering, You will be asked to provide a username, email address, location, and profile information including a profile description. You are not required to use your real name as your username.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Us immediately if You become aware of any unauthorised use of Your account.
When You register using Google Sign-In or Sign in with Apple, certain account information may be shared with Us in accordance with the permissions You grant and the privacy policies of the relevant provider.
5. User Profiles
User profiles on Dogs Out are public and visible to other registered users of the Service.
The following information may be visible to other registered users:
- Username;
- Profile description;
- Location;
- Dog profiles and dog photos;
- Reviews and ratings;
- Comments;
- Followers and following.
You should only share information on your profile that You are comfortable making available to the Dogs Out community.
Dogs Out does not provide direct messaging functionality. Any communication that takes place through third-party platforms such as Instagram occurs outside Dogs Out and is governed by the terms and policies of those platforms.
6. Dog Profiles
You may create one or more dog profiles within Your account. Information You may provide for each dog profile includes:
- Dog name;
- Breed;
- Age;
- Sex;
- Photos; and
- Instagram account, if You choose to share it.
Dog profiles are visible to other registered users as part of Your public profile.
7. User Content and Licence
Ownership
You retain ownership of all Content You upload, submit, or post through the Service.
Licence Grant
By uploading Content to the Service, You grant the Company a worldwide, non-exclusive, royalty-free licence to:
- Display Your Content within the platform;
- Reproduce and distribute Your Content; and
- Use Your Content in promotional materials, social media, newsletters, marketing campaigns, app store listings, and community promotion.
This licence remains in effect while Your Content is available on the platform. Where Your Content includes Your username, dog name, or other identifiers, these may also be used in the same promotional contexts.
Your Responsibilities
By uploading Content, You confirm that:
- You own the Content or have the necessary rights, permissions, and licences to upload it;
- The Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party;
- Where the Content includes images of other individuals, You have obtained any required consents; and
- The Content complies with these Terms and our Community Guidelines.
Dogs Out does not actively verify ownership of uploaded Content. If Dogs Out receives a valid copyright infringement complaint, it may remove the relevant Content and take appropriate action against the account concerned.
Photos of Third Parties
You must not upload images of any person without the necessary permission or legal right to do so. This includes adults, children, business staff, other customers, members of the public, or any other identifiable individual.
Where an image includes a child, You must have permission from the child's parent or legal guardian before uploading it.
You are solely responsible for ensuring that any photos You upload respect the privacy, image rights, and legal rights of others.
8. Community Standards and Moderation
Prohibited Conduct
When using the Service, You agree not to:
- Post false, misleading, or fraudulent reviews, ratings, or information;
- Post abusive, offensive, or hateful Content;
- Impersonate any person or entity, or misrepresent your affiliation with a business;
- Upload Content that infringes any intellectual property or privacy rights;
- Post spam, unsolicited promotions, or commercial solicitations;
- Attempt to game or manipulate ratings or the review system;
- Scrape, harvest, or extract data from the Service without authorisation; or
- Use the Service in any way that violates applicable laws or regulations.
Reporting
You may report Content, profiles, or accounts that you believe breach these Terms or our Community Guidelines through the reporting functionality within the Service. You may also block other users to prevent interaction with their Content.
Moderation and Removal
Dogs Out reserves the right to remove Content, restrict features, suspend, or permanently terminate accounts at Our discretion where Content or conduct:
- Is abusive, offensive, or contains hate speech;
- Contains personal information about third parties;
- Is unlawful, fraudulent, or misleading;
- Is spam; or
- Breaches these Terms or our Community Guidelines.
Dogs Out may take such action with or without prior notice.
9. Business Listings
Claiming a Listing
Business owners may claim and manage their business listing by contacting Dogs Out and completing any verification process required by Us. Verified Business Owners receive additional permissions to manage information relating to their listing, including updating business details and responding to reviews through comments.
Responding to Reviews
Verified Business Owners may publicly respond to reviews through comments. Other registered users may also comment on reviews where this functionality is available. Dogs Out does not automatically remove reviews solely because a business disputes them.
Review Removal
Reviews may be removed if they:
- Contain abusive or offensive language;
- Contain personal information;
- Are fraudulent, misleading, or spam;
- Are unrelated to the business; or
- Otherwise breach these Terms or our Community Guidelines.
Dogs Out investigates reported reviews and makes the final decision regarding removal.
Listing Removal
Dogs Out reserves the right to maintain business listings that are relevant to users of the platform. Business owners may not require Dogs Out to remove a listing except where required by law or at Dogs Out's sole discretion.
Business Photos
Primary photos for business listings may be sourced through the Google Places API and attributed to Google in accordance with applicable Google Maps Platform terms. Dogs Out does not claim ownership of Google-sourced images. Additional photos may be uploaded by users and verified Business Owners.
10. Accuracy Disclaimers
Dogs Out is a community-driven platform. We do not independently verify the accuracy of reviews, ratings, comments, photos, or other user-generated Content.
We do not verify or guarantee the accuracy, completeness, availability, or currency of business information, opening hours, amenities, or dog-friendly policies displayed within the Service. This information may change without notice.
Dogs Out does not guarantee that any business will continue to be dog-friendly or that Your experience will match those described by other users. We recommend verifying information directly with businesses before visiting.
Dogs Out is not responsible for services provided by businesses, food and drink quality, safety standards, dog policies, customer service, accessibility, or any experience occurring at a listed venue. Users visit businesses at their own discretion and risk.
Users remain solely responsible for their decisions, actions, and interactions with businesses, other users, and third-party platforms.
11. Account Deletion
You may request deletion of Your account at any time through the account settings within the Service or by contacting Us. Upon deletion of Your account, the following will be permanently removed:
- User profile;
- Dog profiles;
- Photos;
- Reviews; and
- Comments.
Dogs Out does not retain this Content after deletion except where retention is required for legal, regulatory, fraud-prevention, or security purposes. Dogs Out may retain inactive accounts and reserves the right to remove them at its discretion.
12. Service Modifications
Dogs Out reserves the right to modify, suspend, discontinue, or remove any feature, functionality, content, or part of the Service at any time and without prior notice. We may also introduce new features, modify existing features, or impose limits on certain functionality for operational, security, legal, or business reasons.
Dogs Out shall not be liable for any loss, inconvenience, or disruption arising from changes to, suspension of, or discontinuation of the Service.
13. Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company is not responsible or liable for any damage or loss caused by or in connection with the use of or reliance on any such content, goods, or services available through such websites.
We recommend reviewing the terms and privacy policies of any third-party website You visit.
14. Termination
We may suspend or terminate Your access to the Service immediately, without prior notice or liability, for any reason, including if You breach these Terms. Upon termination, Your right to use the Service will cease immediately. Content associated with a terminated account may be removed at Our discretion.
15. Limitation of Liability
To the maximum extent permitted by law, the Company and its suppliers shall not be liable for any indirect, incidental, special, or consequential damages (including, but not limited to, loss of profits, data, goodwill, or other intangible losses) resulting from:
- Your access to or use of, or inability to access or use, the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service; or
- Unauthorized access, use, or alteration of Your transmissions or content.
In any case, the Company's total liability shall not exceed the greater of (a) the amount paid by You through the Service or (b) £100 GBP.
16. "AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, either express or implied. To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
The Company does not warrant that:
- The Service will be uninterrupted or error-free;
- The Service will meet Your requirements; or
- The Service, its servers, or communications from the Company are free of viruses or harmful components.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. Dispute Resolution
If You have any concern or dispute about the Service, You agree to first attempt to resolve the matter informally by contacting the Company.
19. European Union Users
If You are a consumer in the European Union, You will benefit from any mandatory provisions of the law of the country in which You reside.
20. Severability and Waiver
Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect and enforceable to the fullest extent permitted by law.
Waiver
Failure by either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
21. Translation Interpretation
If these Terms are made available in any language other than English, the English version shall prevail in the event of any discrepancy or dispute.
22. Changes to These Terms and Conditions
We reserve the right to update or modify these Terms at any time. Updated Terms will be published on this page with a revised "Last updated" date. Your continued use of the Service after such changes become effective constitutes Your agreement to be bound by the updated Terms. We recommend reviewing these Terms periodically.
